Notice of Annual Meeting of HOA Membership - October 24, 2013

The Annual Meeting of Katy Lake Homeowner's Association, Inc. (the “Association”) will be held on Thursday, October 24, 2013, at the Waxahachie Country Club, 1920 U.S. 287 
Business, Waxahachie, TX 75165. 

Sign-in will begin at 6:45 p.m. and the meeting will begin promptly at 7:00 p.m., once quorum is established. The Association is a non-profit corporation chartered under the laws of the State of Texas and, as such, is required to hold Meetings of its Members.

The Meeting has been called by the Board of Directors pursuant to Article VIII, Section 4 of the Covenants, Conditions & Restrictions of the Katy Lake on the Greens, Phase 1 (the “CCRs”), wherein it states “An annual meeting of the Members of the Association shall be held in October of each year.” 

At this meeting, we will:

  1. Elect three (3) members to the Board of Directors of the Association because three of the seven board members’ two-year terms expire this year (the other four expire next year). If you wish to nominate someone for any of these board positions, please contact Tom Hoffmann (Board member) via email ( toolaide4fit@yahoo.com ) or phone (972-365-8301) by Thursday, October 17, 2013.
  2. Vote to ratify changes in our CCRs & Bylaws which will:
  • Merge Phase 2 homes automatically, irrevocably into our existing HOA at the time each home closes with permanent financing or, in the event of an all-cash sale, receives a Certificate of Occupancy from the City of Waxahachie. The legal documents governing the construction phase of Phase 2 declare this explicitly, and we must amend our CCRs to match that language.This means all Phase 2 homes will become members of our existing HOA.
  • Update legal language in the existing CCRs to reflect that we are a homeowner-run HOA.
  • Update legal language in the existing CCRs to bring them into compliance with current Texas law governing the operation of HOAs. 

To conduct a homeowners meeting, a quorum of thirty percent (30%) of the Members must be represented in person or by proxy. In order to be sure of a quorum, please sign and date the Proxy and Absentee Ballot and return it by mail to P.O. Box 3075, Waxahachie, TX 75168 or via fax to 214-988-1125, even if you plan to attend as unforeseen circumstances do occur. The Proxy will be returned to you upon your arrival at the meeting, should you attend.

NOTE: Proxy form, absentee ballot and important information regarding proposed revisions to the Covenants, Conditions & Restrictions (e.g., vesting Phase 2 homes into our HOA) will be provided on our website later this week. You will receive one or more follow-up emails containing links to these documents.
